먼저 파산법상 채무의 탕감은 개인에게만 적용이 됩니다. Corporation이 파산을 신청하는 경우는 개인 파산이 불필요 하거나 채권자들에게 정당하고 질서있는 변제가 (liquidation) 이루어지고 있다는것을 보여준다는데 의미가 있겠습니다. 결과적으로 회사채무에 대하여 개인 보증이 없고 corporation을 합법적으로 운영하셨다면 개인은 회사채무와 무관하다 하겠습니다.
