Whether or not the sales volume was fraudulently represented is actually a secondary issue. The primary issue is whether sales volume was a condition of the sales itself. If sales volume was not a condition or a guarantee, it doesn't matter that sales drop. Hence, the terms of the sale agreement is of the utmost importance. Once you have certain sales representation, then the next issue is whether such was made fraudulently. This second issue may not be that easy to prove. There are many reasons why sales drop, i.e., bad economy, new management/owner, new inventory, etc. As such, one can't just blame previous owners for sales drop. These issues should be consulted with an attorney prior to any lawsuit.
